Annual General Meeting 2021

The ROA today concluded its 77th Annual General Meeting, with all six resolutions approved by its members. The resolutions included a significant step forward in the governance of the ROA with changes to its Articles of Association. Due to the Coronavirus pandemic and associated restrictions the AGM was delayed from its original 29th June 2021 date and was held virtually for the second year in a row.

The AGM also marked further improvements to governance as the ROA’s transition to a skills-based board continued with the approval of the co-options of Ken McGarrity and Khalid Almudhaf, alongside the elections of Philip Davies MP, Mouse Hamilton-Fairley and Celia Djivanovic.

Mr Almudhaf is a long-term UK racehorse owner and Kuwaiti businessman who will provide in-depth knowledge of the ownership experience in the UK as well as invaluable insight into foreign investment into British Racing.  Ken McGarrity is a long-term owner who has been the ROA Scottish Representative for the past 6 years. He will continue to bring his experience as a Group Finance Director to his role as Chair of the ROA Audit Committee.

Charlie Parker, President of the ROA, said: “We have had a very strong year in the circumstances, making progress on vital owner issues and progressing our own development as an organisation. AGM Results

Ordinary Resolution A: To receive by way of Ordinary Resolution, the co-option to the Board of Ken McGarrity, Khalid Almudhaf and Charlie Liverton, for the coming year. 

Resolution carried: For 91%.  Against 9%.

Ordinary Resolution B: To receive by way of Ordinary Resolution, the results of the Election to fill vacancies on the Board. 

Resolution carried: For 96.6%.  Against 3.4%.

Ordinary Resolution C: To confirm and adopt, by way of Ordinary Resolution, the Report and Financial Statements for the year ended 31st March 2021.

Resolution carried: For 98.9%.  Against 1.1%.

Ordinary Resolution D: To appoint, by way of Ordinary Resolution, RSM UK Audit LLP auditors in accordance with Section 485 of the Companies Act 2006.

Resolution carried: For 99.4%.  Against 0.6%.

Ordinary Resolution E: To authorise, by way of Ordinary Resolution, the ROA Board to fix the renumeration of the Auditors.

Resolution carried: For 98.9%.  Against 1.1%.

Ordinary Resolution F: To approve, by way of Special Resolution, that with effect from the conclusion of the meeting the draft Articles of Association in the form available at www.roa.co.uk/articles to this Annual General Meeting notice be adopted as the articles of association of the Company in substitution for, and to the exclusion of, the Company's existing Articles of Association (including the relevant provisions of the memorandum of association that would otherwise be treated as provisions of the articles under section 28 of the Companies Act 2006).

Resolution carried: For 97.8%.  Against 2.2%.
